Terms of Service

The agreement between you and the c1ub. Read it once. It's written to be read.

Effective November 5, 2026 · Last updated November 5, 2026

Please read section 27 carefully. It says that most disputes between you and the c1ub will be settled by binding individual arbitration, not in court, and that you give up the right to a jury trial and to bring or join a class action. You can opt out of arbitration within 30 days of first accepting these terms (section 27.7).

The short version

This summary is here to help. The full terms below are the ones that count.

1 Who we are & this agreement

1.1 “The c1ub,” “we,” “us” and “our” mean The Country C1ub LLC, a Florida limited liability company. “You” means the person using the c1ub. “The service” means thecountryc1ub.com and every page on it, the C1ubhouse and its rooms, our emails and texts, online meetings, community spaces we run on other platforms, and any event we host.

1.2 These Terms of Service, together with The Code (our rules and guidelines), our Privacy Policy, and any terms shown to you at checkout or inside a specific room, are the whole agreement between you and the c1ub. If they conflict, these terms win, unless a checkout page or room says it is overriding a specific section.

1.3 You accept these terms when you buy a plan, create or use a member or guest account, enter the C1ubhouse, submit a form, or otherwise use the service. If you don't agree, please don't use the service.

1.4 Your agreement is with The Country C1ub LLC, and only with it. See section 26.6.

2 Eligibility

2.1 You must be at least 18 years old (or the age of majority where you live, if higher) and able to enter a binding contract. The c1ub is not for children.

2.2 You may not use the service if we have previously removed you, or if the law where you live doesn't allow you to.

2.3 Membership is personal to you. It can't be sold, shared, gifted on, or transferred without our written permission.

3 What membership is, and isn't

3.1 The c1ub is a private online membership community. Depending on your plan, membership gives you access to members-only rooms and content, community features, online meetings, recognition programs and other benefits we describe at the time. Unless a specific event says otherwise, membership is not a membership in a physical club, does not include any real property, golf course, facility or equity, and gives you no ownership, vote or interest in the c1ub or in The Country C1ub LLC.

3.2 The house keeps changing. We're building the c1ub in real time. We may add, change, rename, pause or retire rooms, features, films, programs, perks, meetings, prices for new members and benefits at any time. Rooms marked “being furnished,” “coming soon” or similar are plans, not promises, and their timing isn't guaranteed.

3.3 Vision isn't a promise. When we talk about where the c1ub is going (for example, future grounds, future perks, future members, or what the c1ub might become), we are describing an ambition. Statements about the future are not guarantees and are not a reason to buy.

3.4 No guaranteed results. We don't promise that membership will bring you introductions, clients, deals, income, followers, recognition, a spotlight, a prize, or any other outcome. What you get out of the c1ub depends largely on what you put in. Member stories and testimonials are real experiences of those members, not typical or expected results.

3.5 We try to keep the service running, but we don't promise it will always be available, uninterrupted, or free of errors.

4 The house characters, the story & AI

4.1 It's a story, and you're in on it. The c1ub is told with a sense of theatre: codes, keys, clearance levels, agents, files, secret rooms, transmissions. These are storytelling and game devices. They do not mean the c1ub is connected to any government, intelligence, security or law-enforcement body, and a “clearance” or “agent” title carries no real-world authority.

4.2 House characters. Some voices of the house are characters. Bill and other storybook figures are fictional personas. Dani, the c1ub secretary, is the voice of the house team; messages signed by Dani, Bill or other house characters may be written by different people on our team and may be drafted or assisted by AI tools. Any resemblance of a fictional character to a real person is not intended.

4.3 AI features. Some features use artificial intelligence, such as AI-generated portraits, films and characters, house agents, and AI-assisted writing. AI output can be inaccurate, incomplete or unexpected, and it isn't advice. Don't rely on it for important decisions, and don't enter anything into an AI feature you wouldn't want processed by our AI providers (see the Privacy Policy).

5 Plans & payment

5.1 The plans, prices and inclusions available at any moment are the ones shown on our checkout page when you buy. At the time of writing they include an annual membership, the C1ub Agent annual plan, and a one-time Guest Card. Prices are in US dollars unless shown otherwise.

5.2 Payments are processed by third-party payment processors (currently Fanbasis and Commas). We do not see or store your full card number. Your payment is also subject to the processor's own terms. You authorize us and our processors to charge the payment method you provide for every amount you agree to, including renewals.

5.3 You agree to give accurate billing information and to keep it current. If a payment fails, we may retry it, ask you to update your details, and suspend access until the balance is paid.

5.4 Prices don't include any taxes, duties or bank or currency-conversion fees, which are your responsibility unless we say otherwise.

5.5 Bonuses, gifts and limited-time extras offered with a plan (for example a welcome kit, a card, a printed item, a film or a seat at a specific meeting) are offered while supplies and schedules last, may be substituted with something of similar value, and aren't sold separately. Physical items are shipped only where we can reasonably ship them.

6 Automatic renewal & cancelling

Annual plans renew automatically. When you buy an annual membership (including the C1ub Agent plan), you agree that it will renew for another year at the end of each yearly term, and that we will charge the payment method on file the renewal price (your locked rate, see section 7) plus any applicable tax, until you cancel. The Guest Card is a one-time payment and never renews.

6.1 How to cancel. Email dani@thecountryc1ub.com from the address on your account and say you'd like to cancel. That's enough. We may also offer other ways to cancel online. We will confirm your cancellation by email.

6.2 When it takes effect. To avoid the next renewal charge, cancel before your renewal date. When you cancel, your membership stays active until the end of the year you've already paid for and then ends; it does not renew.

6.3 Reminders. We will send a reminder to the email on your account before an annual renewal, as the law requires. A reminder that doesn't reach you (for example because your email address changed or a filter caught it) does not stop a renewal you agreed to.

6.4 Except for the 30-day guarantee in section 8, or where the law says otherwise, renewal charges are not refundable once processed.

7 Your locked rate & “lifetime” access

7.1 The locked rate. When we say your rate is “locked,” “locked for life” or “locked forever,” we mean that the yearly price you joined at will not go up for as long as your membership stays continuously active and in good standing. If your membership is cancelled, lapses for non-payment, is refunded, or is terminated, the locked rate ends with it. If you return later, you'll join at the price offered at that time. A locked rate is personal and can't be transferred. It doesn't include taxes, or new products and add-ons we introduce later.

7.2 “Lifetime” and “never expires.” When a plan (such as the Guest Card) is described as giving “lifetime” access, or as one that “never expires,” it means access for as long as the c1ub continues to operate that program, and not the lifetime of the holder. It is personal to you, covers only the rooms and benefits that plan includes, and can end early under section 25 (for example, for a breach of these terms). If we ever stop operating the program, we'll tell holders in advance where we reasonably can.

7.3 We may change prices for new members, new plans and future offers at any time. Price changes never affect a payment you've already made.

8 The 30-day guarantee & refunds

8.1 The guarantee. If the c1ub isn't your room, email dani@thecountryc1ub.com within 30 days of your first payment on a plan, and we'll refund that payment in full. No forms, no interview.

8.2 The guarantee applies to the first payment of a plan, once per person. It doesn't apply to annual renewals, to a second purchase after an earlier refund, or to a purchase made after an earlier membership was terminated for breach. If you upgrade, the 30 days run from the first payment of your first plan.

8.3 Refunds go back to the original payment method. Your processor or bank may take some days to show it. We can't refund fees your own bank charges you.

8.4 When a payment is refunded, the access it paid for ends, and any locked rate, member number reservation, points, Chips, medals, referral credit and other perks tied to it end too. Physical items already shipped don't need to be returned.

8.5 Outside the guarantee, payments are non-refundable except where the law requires. We may, at our sole discretion, give a goodwill refund or credit; doing it once doesn't oblige us to do it again.

8.6 We may refuse a refund where we reasonably believe the guarantee is being abused (for example, repeated join-refund cycles, or joining to collect a prize, referral reward or member content and then refunding).

9 Chargebacks

9.1 If something's wrong with a charge, please email us first. We answer, and the guarantee in section 8 is usually faster than a bank dispute.

9.2 Filing a chargeback or payment dispute for a charge you authorized (including a renewal you agreed to and didn't cancel) is a breach of these terms. If you do, we may suspend or end your access straight away, contest the dispute with the records we hold (such as your acceptance of these terms, your sign-in and usage history and our emails to you), and, where the law allows, recover the amount and the fees we're charged.

10 Points, Chips, medals & the leaderboard

10.1 The c1ub runs recognition programs: points (from November 2026 called Chips), scores, ranks, medals, trophies, cards, plates, member numbers, titles, badges and leaderboards (together, “recognition”).

10.2 Recognition has no cash value. It is not money, not a currency, not a cryptocurrency or token, not a security, not a gift card or stored value, and not property you own. It can't be bought, sold, traded, transferred, inherited or exchanged for cash or credit, except for specific rewards we choose to offer for it. Nobody should join, refer or participate expecting a financial return from recognition. Any idea we have discussed or may discuss about turning points into anything else (for example a digital token) is an idea, not a promise or an offer, and would only ever happen under separate terms and in compliance with the law.

10.3 The house keeps score. We decide how recognition is earned, how much each action is worth, and how leaderboards are ranked, and we may change the rules, the values, the seasons and the prizes at any time, including in the middle of a season. We may correct mistakes, recalculate, reset boards at the end of a season, and remove recognition that was earned through error, duplicate accounts, automation, self-dealing, or any other attempt to game the system. Our records and decisions on recognition are final.

10.4 Recognition ends when your membership ends, unless we say otherwise.

10.5 Leaderboards may show your name, member number, company, or a redaction, as described in the Privacy Policy and in the room itself.

11 Prizes, gifts & Member of the Month

11.1 From time to time we may award prizes, gifts, crowns, spotlights or perks (for example Member of the Month). Prizes are awarded at our discretion based on the criteria we announce. They are not won by chance, and paying for a plan does not entitle you to one.

11.2 We may set eligibility rules, verify a winner, and disqualify anyone who breaks these terms or the rules of that program. We may substitute a prize of similar or greater value. Prizes can't be exchanged for cash unless we offer it.

11.3 Winners are responsible for any taxes on a prize, and may need to give us information (such as a shipping address or tax form) to receive it. If a winner doesn't respond within a reasonable time we may award the prize to someone else. Prize programs are void where prohibited.

11.4 By accepting a prize or recognition, you agree we may announce it, including your name, member number, company and image, unless you've switched on the privacy option in your locker or asked us in writing not to.

12 Referrals

12.1 The program. Members may be given personal referral links or doors. When someone you refer becomes a qualifying member, you may earn a reward, such as recognition, a perk, a seat, credit or a cash payment, as described inside the house at the time of the referral.

12.2 What qualifies. Unless the program says otherwise, a referral qualifies only if the new member: (a) is a real, new person who has never been a member; (b) arrives through your link or names you as their referrer; (c) completes payment; and (d) is still a paying member after their 30-day guarantee has passed. Referring yourself, your own other accounts, or a payment you funded doesn't qualify. If two members claim the same referral, our records decide.

12.3 Payouts. Cash rewards are paid by the method we choose, in US dollars, on the schedule we set. Before paying, we may require proof of identity and tax information (such as a Form W-9 or its equivalent), and we may withhold payment until you provide it. You are responsible for any taxes on rewards. We may offset a reward against a refund or chargeback on the referred account.

12.4 You're not our agent. Referring members are independent. You are not our employee, partner, franchisee or representative, and you can't make promises, offers or statements on our behalf. You are not entitled to wages, benefits or expenses.

12.5 Refer the right way. When you share the c1ub, you must: be honest; clearly disclose that you may earn a reward (for example, “I may get a reward if you join”), as advertising and endorsement laws require; not make income, earnings, investment or results claims; not send spam, unsolicited texts or cold mass messages; not buy ads using our name or trademarks; not post fake reviews; not pretend to be us; and comply with all laws that apply to you, including anti-spam and telemarketing laws.

12.6 We may change, pause or end the referral program, or a member's participation in it, at any time. Rewards already earned under the rules at the time will be honoured, unless they were earned through fraud, abuse or a breach of these terms, in which case they are forfeited and we may claw back rewards already paid.

13 Your account, key & combination

13.1 You may be given a house key, member number, combination, sign-in link or code. Keep them to yourself. Don't share them, sell them, or let anyone else use your locker. You're responsible for what happens under your access.

13.2 Tell us straight away at dani@thecountryc1ub.com if you think someone else has your access. We may reset keys, re-issue codes or change how sign-in works at any time.

13.3 Member numbers are issued by us, belong to the c1ub, and may be re-assigned or retired when a membership ends.

14 The Code & member conduct

14.1 Every member agrees to The Code. In addition, you agree not to:

14.2 We may (but don't have to) review, edit, hide or remove anything posted in the service, and we're not responsible for content posted by members.

15 What's said inside stays inside

15.1 Members share ideas, plans, numbers, struggles and stories in the house. Treat what other members share in members-only spaces (meetings, Radio, rooms, pins, posts and messages) as confidential. Don't screenshot, record, quote, publish or pass it on outside the c1ub without that member's permission.

15.2 This doesn't cover information that's already public, that you knew before, or that the law requires you to disclose. It also doesn't stop you from reporting illegal activity to the authorities.

15.3 Don't share anything inside the c1ub that you need to keep secret. We can't guarantee that every member will honour this section, and we aren't responsible if someone doesn't.

16 Dealings between members

16.1 The c1ub introduces people. We don't vet, verify, endorse or guarantee any member, guest, sponsor or business, their identity, credentials, claims, products, services or conduct, even when they're spotlighted, crowned, numbered, carded or ranked.

16.2 Any deal, hire, partnership, purchase, investment, referral, trip, round of golf, meeting or relationship between you and another member or guest is between you and them alone. Do your own due diligence. We aren't a party to it and aren't responsible for it.

16.3 To the fullest extent the law allows, you release the c1ub and the people listed in section 26.6 from all claims, losses and damages of any kind arising out of disputes or dealings between you and other members, guests or third parties. If you live in California, you waive California Civil Code section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any similar law where you live.

17 No professional advice

17.1 Everything in the c1ub, including letters, lessons, briefings, films, the B1ueprint, credit or money content, AI output and anything said by members, hosts or guests, is for general information, inspiration and entertainment. It is not financial, investment, credit, tax, legal, medical, psychological or other professional advice, and nobody at the c1ub is acting as your adviser. Talk to a qualified professional before making decisions that matter.

17.2 Mentions of other companies, products or members (for example a drink in the Snack Shop) are not endorsements, unless we clearly say so, and may involve a relationship between that company and the c1ub or its founder.

18 Meetings, events & travel

18.1 We may host online meetings and, from time to time, in-person gatherings, rounds, trips or parties (“events”). Events are optional. Dates, times, hosts, guests and venues can change or be cancelled, and we aren't responsible for travel, lodging or other costs you incur.

18.2 Your own risk. In-person events can involve physical activity (including golf), alcohol, travel and third-party venues, all of which carry risks of injury, illness, loss or damage. You attend voluntarily and at your own risk, you're responsible for your own conduct, health, insurance and belongings, and you must follow the venue's rules and the law. To the fullest extent the law allows, you release the c1ub and the people listed in section 26.6 from claims arising from your attendance, except for injury caused by our gross negligence or wilful misconduct.

18.3 Only drink alcohol if you're of legal age, and never drive impaired. We may refuse entry to, or remove, anyone from an event.

18.4 Events may have their own additional terms or waivers, which you agree to when you attend.

19 Your content

19.1 “Your content” means anything you submit to the service: posts, pins, tips, Radio lines, survey answers, spotlight stories, photos, video, audio, journal pages, messages, feedback and more. You keep ownership of your content.

19.2 The licence you give us. You give the c1ub a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, copy, display, adapt (for example crop, translate, caption, edit for length), publish and distribute your content, in any media, for the purpose of operating, improving and promoting the c1ub. This licence lasts while your content is in the service, plus a reasonable time to remove it; and for materials already created or published before you ask us to stop (such as a printed piece, a film, a letter or an ad that has already run), it lasts for as long as those materials exist. Your private journal is the exception: we only process it to run the journal for you, as described in the Privacy Policy.

19.3 Spotlights. When you submit a spotlight, you agree that we may publish it publicly on the open web (it can be indexed by search engines and shared), with your name, image, company and story, and edit it for length, clarity and style. You can ask us to take a spotlight down; we'll remove it from our site within a reasonable time, but we can't recall copies others have already made.

19.4 Feedback. If you send us ideas or suggestions, we may use them freely, without paying you or crediting you.

19.5 Your promises. You promise that you own or have permission to share your content, that it's accurate where it describes facts about you, and that it doesn't break the law or anyone's rights, including privacy, publicity, copyright and trademark rights.

20 Your name, likeness & story

20.1 The c1ub celebrates its members. By joining, you agree that we may use your name, member number, company, title, photograph, likeness, voice, and the story of your membership (for example your join, your milestones, your recognition, and content you've shared with the c1ub) in c1ub materials, including the website, letters, films, social media posts, printed pieces and advertising, without payment to you.

20.2 We may also quote short messages or feedback you've sent us (for example in testimonials), with your first name, your member number, or no name at all.

20.3 You can say no. Email dani@thecountryc1ub.com and we'll stop new uses of your name and likeness in marketing within a reasonable time. Turning on the privacy option in your locker will also keep your name off member-facing boards. Opting out doesn't require us to recall materials that were already created or published.

21 Photographs & AI portraits

21.1 Some rooms (for example a character sitting or a Legend Room portrait) let you upload photographs so that we, using AI image and video providers, can create portraits, characters, cards, scenes or films of you (“AI likeness work”).

21.2 By uploading photographs, you confirm that: you're the person in them, or you have the written permission of every identifiable person in them; everyone in them is an adult; and you have the right to share them. Don't upload anyone else's face without their permission, or any image of a child.

21.3 You give your express consent for the c1ub and its AI providers to process your photographs, including the features of your face, only to create the AI likeness work you asked for and to run and improve that feature. We do not use your photographs to identify you, we don't sell them, and we handle and delete them as set out in the Privacy Policy.

21.4 AI likeness work is created with tools we don't fully control. Results can be unflattering, inaccurate or strange. You agree we may use AI likeness work of you inside the c1ub and, subject to section 20, in c1ub materials. We may refuse or stop creating AI likeness work at any time.

22 Recordings

22.1 Online meetings, Radio calls, briefings and events may be recorded (audio, video, chat and transcripts), photographed or filmed, by us or by a platform we use. By joining one, you consent to being recorded and to our use of the recording inside the c1ub and, subject to section 20, in c1ub materials. If you don't want to be recorded, keep your camera and microphone off, or don't attend.

22.2 Don't record meetings or other members yourself without the consent of everyone involved, and never where the law requires consent you don't have.

23 Emails & text messages

23.1 Email. By joining or giving us your email, you agree that we may send you service emails (receipts, renewal notices, keys, security and account messages), which are part of the service, and c1ub news and offers. You can unsubscribe from marketing emails at any time using the link in them.

23.2 Text messages. If you tick the box to receive texts, or otherwise opt in, you agree to receive recurring automated marketing and informational text messages from The Country C1ub at the number you gave us, such as meeting reminders, member news and offers. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time, and HELP for help, or email dani@thecountryc1ub.com. Carriers are not liable for delayed or undelivered messages. Tell us if you change or give up your number. We don't share your mobile number or text-message consent with third parties for their own marketing; see the Privacy Policy.

24 Our property

24.1 The service and everything in it that isn't your content, including the names The Country C1ub and C1ub, the crest and logos, the house characters (such as Bill), the letters, films, rooms, designs, copy, scoring systems, programs, artwork and software, belongs to The Country C1ub LLC or its licensors and is protected by copyright, trademark and other laws.

24.2 While your access is active, we give you a personal, limited, revocable, non-transferable licence to use the service for your own non-commercial use within these terms. Nothing else is licensed to you. You may not copy, re-publish, sell, frame, mirror or make derivative works from the service, or use our names, marks or characters, without our written permission.

24.3 Other companies' names and marks belong to their owners.

24.4 Copyright complaints. If you believe something in the service infringes your copyright, send a notice to dani@thecountryc1ub.com with: your contact details; the work you say is infringed; where the material is in the service; a statement that you believe in good faith the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and you're authorized to act; and your signature. We may remove material and terminate repeat infringers.

25 Suspension & termination

25.1 You can stop using the service and cancel at any time (section 6).

25.2 We may suspend, restrict or end your access, membership or guest access, with or without notice, if we reasonably believe you've broken these terms or The Code, put members or the c1ub at risk, damaged its reputation, filed an improper chargeback, or acted unlawfully, or if we're required to by law. We decide this in good faith and our decision is final.

25.3 If we end your access for one of those reasons, you won't get a refund, and any locked rate, recognition, prizes not yet delivered and referral rewards not yet paid are forfeited. If we end your membership for no fault of yours (for example, if we close a program), we'll refund the unused part of any prepaid annual term on a pro-rata basis.

25.4 Sections that by their nature should survive the end of this agreement will survive, including sections 8.4, 9, 10.2, 12.4 to 12.6, 15, 16, 17, 19 to 22 (as to content and materials already created), 24, 26, 27, 28 and 30.

26 Disclaimers, limits & indemnity

26.1 Disclaimer. THE SERVICE, AND EVERYTHING IN IT, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT THE LAW ALLOWS, THE C1UB DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

26.2 No indirect damages. TO THE FULLEST EXTENT THE LAW ALLOWS, THE C1UB AND THE PEOPLE LISTED IN SECTION 26.6 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

26.3 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, ADDED TOGETHER, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED US DOLLARS (US$100).

26.4 These limits apply to every theory of liability (contract, tort including negligence, statute or anything else) and even if a remedy fails of its essential purpose. Some places don't allow some of these limits; where that's the case, they apply only as far as the law allows. Nothing in these terms limits liability that can't be limited by law, such as for fraud or for death or personal injury caused by gross negligence.

26.5 Indemnity. You agree to defend, indemnify and hold harmless the c1ub and the people listed in section 26.6 from any claims, losses, liabilities, damages, costs and expenses (including reasonable lawyers' fees) arising out of or related to: your content; your use of the service; your dealings with other members or guests; your referral activity; your attendance at events; or your breach of these terms or of the law or anyone's rights. We may take control of the defence of any claim, and you'll cooperate with us.

26.6 Your agreement is with the company. You agree that your agreement and relationship is solely with The Country C1ub LLC. To the fullest extent the law allows, no member, manager, owner, founder, officer, employee, contractor, host, agent, affiliate, licensor or service provider of The Country C1ub LLC (each a “c1ub party”) will have any personal liability to you for anything arising out of or related to the service or these terms, and you will not bring any claim against any of them personally. The c1ub parties are intended to benefit from, and may enforce, sections 16, 18, 26 and 27.

27 Disputes & arbitration

27.1 Talk to us first. Before starting any claim, you agree to email dani@thecountryc1ub.com with your name, the email on your account, a description of the issue and what you're asking for, and to try in good faith to resolve it with us for at least 60 days. We'll do the same before bringing a claim against you. Any time limit for bringing a claim is paused during those 60 days.

27.2 Binding arbitration. If we can't resolve it, you and the c1ub agree that any dispute, claim or controversy arising out of or relating to these terms, the service, your membership, or our relationship, including whether a dispute must be arbitrated (each a “dispute”), will be resolved by final and binding individual arbitration, and not in court, except as set out in section 27.5. The arbitration will be run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, which are available at adr.org, before a single arbitrator. The arbitration may be held by video conference or on written submissions, or, if an in-person hearing is needed, in the county where you live or another place we both agree. The Federal Arbitration Act governs this section 27.

27.3 Fees. Payment of filing, administration and arbitrator fees will be governed by the AAA's rules. The arbitrator may award the same individual relief a court could award, and may award fees and costs where the law or the AAA rules allow.

27.4 No class actions, no jury. YOU AND THE C1UB EACH AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND THE C1UB EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding. If this section 27.4 is found unenforceable for a particular claim, that claim (and only that claim) will be heard in court, and will be paused until any individual arbitration is complete.

27.5 Exceptions. Either of us may: (a) bring an individual claim in small claims court, if it qualifies; and (b) ask a court for an injunction to stop actual or threatened infringement or misuse of intellectual property, confidential information, or the security of the service.

27.6 Mass filings. If 25 or more similar demands are filed against the c1ub by or with the help of the same lawyers or organisations, they will be administered in batches of up to 25 at a time under the AAA's mass arbitration procedures, and no other demands will be processed until a batch is resolved. Statutes of limitation are paused for claims waiting in a batch. A court may enforce this section.

27.7 Your right to opt out. You can opt out of this arbitration section by emailing dani@thecountryc1ub.com within 30 days of first accepting these terms, with your name, the email on your account and a clear statement that you want to opt out of arbitration. Opting out doesn't affect any other part of these terms.

27.8 Time limit. To the fullest extent the law allows, any dispute must be brought within one (1) year after it arose, or it is permanently barred.

27.9 Changes. If we change this section 27 in a way that affects you, the change won't apply to a dispute you've already told us about, and you may reject the change by emailing us within 30 days of it taking effect.

28 Governing law

28.1 These terms, and any dispute, are governed by the laws of the State of Florida, United States, and applicable US federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply.

28.2 For any dispute not subject to arbitration, you and the c1ub agree to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, and waive any objection to venue there.

28.3 If you live in a country whose consumer laws give you rights that can't be waived by contract, nothing in these terms takes those rights away.

29 Changes to these terms

29.1 We may update these terms from time to time. The “Last updated” date at the top shows when. If a change is material, we'll give reasonable notice, for example by email or a notice in the service, before it takes effect.

29.2 By continuing to use the service after a change takes effect, you accept the updated terms. If you don't agree, you can cancel (section 6). A change to the price of your plan never applies to a period you've already paid for, and section 7.1 protects your locked rate.

30 The rest of the fine print

30.1 Severability. If any part of these terms is found unenforceable, it will be enforced to the maximum extent possible and the rest stays in force.

30.2 No waiver. If we don't enforce a term right away, we haven't given up the right to enforce it later.

30.3 Assignment. You can't transfer these terms or your membership. We may transfer them, for example to an affiliate or as part of a reorganisation, merger or sale, and they'll keep binding you and the new owner.

30.4 Force majeure. We aren't responsible for delays or failures caused by events outside our reasonable control, including outages of hosting, payment, email or AI providers, internet failures, natural disasters, illness, war, strikes or government action.

30.5 Electronic communications. You agree to receive agreements, notices, disclosures and other communications from us electronically, by email to the address on your account or in the service, and that these satisfy any legal requirement that they be in writing. Notices to us must be sent to dani@thecountryc1ub.com.

30.6 Relationship. Nothing in these terms creates a partnership, joint venture, employment or agency relationship between you and the c1ub.

30.7 Third-party services. The service links to and relies on services we don't control (such as payment processors, meeting platforms and community platforms). Their terms and policies apply to your use of them, and we aren't responsible for them.

30.8 Language and headings. These terms are written in English; any translation is for convenience only. Headings and the summary are for convenience and don't affect the meaning. “Including” means “including without limitation.”

30.9 Apple and Google. If you reach the service through a third-party app store, that store isn't a party to these terms and has no responsibility for the service.
